Articles Of Incorporation Of The Corp. Duly RegisteredAlso known as Certificate of Incorporation or Corporate Charter. It is the public document that creates the corporation; it specifies the company’s name, basic purposes, social capital, amount and type of stock shares, the board of directors, and proxies. For this charter, a Notary Public protocol must be done and then registered in the Public Registry of Panama. |

Certificate Of Good StandingThis is a public certificate issued by the proper authorities in a specific jurisdiction (In this case, Public Registry of Panama) that shows all detailed information of the Corporation. It is commonly used to verify that a corporation actually exists, has paid all its statutory dues, has met all filing requirements, and, therefore, is authorized to transact business in that state. Also called a certificate of authorization or certificate of existence. |

Transfer Of Shares DocumentThis is a private document where an existing shareholder transfers issued shares to another person appointed as the shareholder. In Panama, the subscribers must receive each one common share of the corporation. As we act as subscribers of the corporation (so the client does not have to travel to Panama to incorporate the Company), we transfer our shares back to the company. Then we issue the shares based on the instructions of each client’s needs. |

Power Of Attorney Inside The Articles Of Incorporation (Public)A power of attorney (POA) or letter of attorney is a legal authorization granted by the board of shareholders or directors to represent or act on behalf of the company in public or private affairs, business, the opening of bank accounts, or some other legal matter of the Corporation. This kind of POA will appear in the Articles of Incorporation of the Company, therefore, is public. |

Power Of Attorney In A Private DocumentA power of attorney (POA) or letter of attorney is a legal authorization granted by the board of shareholders or directors to represent or act on behalf of the company in public or private affairs, business, the opening of bank accounts, or some other legal matter of the Corporation. This kind of POA is granted in a Private Document, meaning that the empowered’s identity will be kept anonymous. In most cases, this document is granted when our law firm provides the nominee director service. |

Appointments Of Three (3) Nominee DirectorsWhen a client does not want to be disclosed in any public document of the corporation, and for confidentiality and anonymity reasons, our law firm can provide the Nominee Directors Services ( Panamanian Law requires a minimum of 3 directors to be appointed in the Corporation). Members of our staff will appear as the company’s directors, so the partners’ and owners’ identifications are 100% anonymous. |

Pre-Resignation Letter Signed By The Nominee DirectorsThis is a private document in which the Nominee Directors sign their resignation as Directors/Board of Directors. This document has no date of issue, so it won’t be valid until the client fulfills the date and register such a document in front of the Panama Authorities. |

Certificate Of SharesThis is the legal document issued as proof of ownership of the Company. These certificates are a private document, so shareholders are extremely confidential; they can be issued as nominative or bearer shares. Panama Companies does not have an obligation to have issued shares in their resident agent or bank’s custody so that owners can have their original certificates. |

Registration Of Shares DocumentThis is a private document of the Company that shows the company’s number of issued shares and shareholders. |

Official Receipt Of Payment Of The Corporate Tax For The First YearThis is the proof of payment of the annual tax payable every year of incorporation of the company. |

Resident Agent Fee For The First YearThe resident agent is the attorney or law firm in charge of incorporating the Articles of Incorporation of the Panamanian Company. All Panamanian Companies must have a resident agent (Suitable Panama lawyer) to represent the company in front of the Panama Government. |

Apostle Of DocumentsThis is an additional authentication required for international acceptance of notarized documents, including all the Company documents. This legalization is instituted by ‘The Hague Convention Abolishing The Requirements Of Legalization For Foreign Public Documents’ of 1961; its objective is to obviate “the requirements of diplomatic or consular legalization” and thus replace the cumbersome ‘chain authentication method’ that called for verification by multiple authorities. As prescribed by the convention, an apostille (French for notation) is a preprinted small (minimum 9 x 9 centimeters) form with ten numbered items of information with blank spaces filled in by the designated authority in the issuing country. It is obligatory upon every signatory country to accept apostilles of the other signatory countries. |

Still, if signatories cannot travel to Panama, we can provide this service by distance in other jurisdictions such as Belize, Grand Cayman, Dominica, St. Vincent, and more. |
