Articles Of Incorporation Of The Corp. Duly Registered checkmark checkmark checkmark checkmark Articles of Incorporation: Also known as Certificate of Incorporation or Corporate Charter. Is the public document that creates the corporation; it specifies the name of the company, basic purposes, social capital, amount and type of stock shares, board of directors and proxies. For this charter, a protocol must be done by a Notary Public and then registered in the Public Registry of Panama.
Certificate Of Good Standing checkmark checkmark checkmark checkmark Good Standing Certificate: Is a public certificate issued by the proper authorities in a specific jurisdiction (In this case, Public Registry of Panama) that shows all detailed information of the Corporation. Is commonly used to verify that a corporation actually exists, has paid all its statutory dues, has met all filing requirements and, therefore, is authorized to transact business in that state. Also called certificate of authorization or certificate of existence.
Transfer Of Shares Document checkmark checkmark checkmark checkmark Transfer of Shares: Is a private document where an existing shareholder, transfers issued shares to another person who is then appointed as the shareholder. In Panama, the subscribers must receive each, one common share of the corporation. As we act as subscribers of the corporation (so the client does not have to travel to Panama for the incorporation of the Company) we transfer our shares back to the company and then we issue the shares based on the instructions of each client needs.
Power Of Attorney Inside The Articles Of Incorporation ( Public) checkmark       Power of Attorney included in The Articles of Incorporation (Public): A power of attorney (POA) or letter of attorney is a legal authorization granted by the board of shareholders or directors, to represent or act in behalf of the company in public of private affairs, business, opening of bank accounts, or some other legal matter of the Corporation. This kind of POA will appear in the Articles of Incorporation of the Company, therefore is public.
Power Of Attorney In A Private Document   checkmark checkmark checkmark Power of Attorney in Private Document: A power of attorney (POA) or letter of attorney is a legal authorization granted by the board of shareholders or directors, to represent or act in behalf of the company in public of private affairs, business, opening of bank accounts, or some other legal matter of the Corporation. This kind of POA is granted in a Private Document, meaning that the identity of the empowered will be keep anonymous. In most cases this document is granted when the nominee director service is provided by our law firm.
Appointments Of Three (3) Nominee Directors   checkmark checkmark checkmark Appointment of Three (3) Nominee Directors: When a client does not want to be disclosed in any public document of the corporation and for confidentiality and anonymity reasons, our law firm can provide the Nominee Directors Services ( Panamanian Law requires a minimum of 3 directors to be appointed in the Corporation) . Members of our staff will appear as the directors of the company so the partners and owners identifications are 100% anonymous.
Pre-Resignation Letter Signed By The Nominee Directors   checkmark checkmark checkmark Resignation Letters pre-signed by the Nominee Directors: This is a private document, in which the Nominee Directors sign their resignation as Directors/Board of Directors. This document has no date of issue so it won’t be valid until the client fulfill the date and register such document in front of the Panama Authorities.
Certificate Of Shares checkmark checkmark checkmark checkmark Share Certificates: Is the legal document issued as proof of ownership of the Company. These certificates are a private document so shareholders are extremely confidential; they can be issued as nominative or bearer shares. Panama Companies does not have the obligation to have issued shares in custody of their resident agent or bank, so owners can have their original certificates.
Registration Of Shares Document checkmark checkmark checkmark checkmark Registration of Shares: Is a private document of the Company that shows the amount of issued shares and shareholders of the company.
Official Receipt Of Payment Of The Corporate Tax For The First Year checkmark checkmark checkmark checkmark Official Receipt of Payment of the Corporate Tax for the first year: Is the proof of payment of the annual tax payable every year of incorporation of the company.
Resident Agent Fee For The First Year checkmark checkmark checkmark checkmark Resident Agent Fee for the first year: The resident agent is the attorney or law firm that is in charge of the incorporation process of the Articles of Incorporation of the Offshore Company. All Panamanian Companies must have a resident agent (Suitable Panama lawyer), able to represent the company in front of the Panama Government.
Apostle Of Documents checkmark checkmark checkmark checkmark Apostille of Documents: Is an additional authentication required for international acceptance of notarized documents including all documents of the Company. This legalization is instituted by 'The Hague Convention Abolishing The Requirements Of Legalization For Foreign Public Documents' of 1961, its objective is obviate "the requirements of diplomatic or consular legalization" and thus replace the cumbersome 'chain authentication method' that called for verification by multiple authorities. As prescribed by the convention, an apostille (French for, notation) is a preprinted small (minimum 9 x 9 centimeters) form having ten numbered items of information with blank spaces to be filled in by the designated authority in the issuing country. It is obligatory upon every signatory country to accept apostilles of the other signatory countries.

We only work with first-class, renown banks, which provide and guarantee all the safety and service our clients need to manage their accounts overseas. We will assist you in everything related to the opening process of the bank account and ensuring a fast and safe process. Which includes the assistance during the interview with the bank until the account is approved. Panama Banks require a personal interview with the signatories of the account, but if signatories cannot travel to Panama we can provide this service by distance in other jurisdictions such as: Belize, Grand Cayman, Dominica, St. Vincent and more.
