1. Articles of
Incorporation whereby the corporation is constituted both in Spanish
and English, duly registered in the Public Registry of Panama.
2. Original Certification
from Panama Public Registry stating the existence of the corporation.
3. Two "transfer
of shares" documents signed by subscriber of Articles of
Incorporation.
4. Share certificates
of the Corporation.
5. Three (3) directors/officers
required by Law.
6. Signed letter
of resignation, of the members of the Board of Directors.
7. Power of Attorney,
issued by the Board of Directors in a private document, notarized
and authenticated by Apostille.
8. Copy of official
receipt for the annual franchise payment or corporate tax payable
on the first year of incorporation.
9. Apostille of
documents.
10. Resident Agent
Fee for the first year of incorporation.
11. Courier Expenses.
